1. Introduction

Welcome to Omnicogi. These Terms of Service ("Terms") govern your use of the Omnicogi website and application (collectively, the "Service"), operated by Iteruti Ltd, trading as Omnicogi ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Nature of Service

Omnicogi is a total asset performance and net worth tracking tool designed to help individuals understand their historical financial growth across stocks, savings, and property.

The core features of Omnicogi are currently provided free of charge during our initial closed beta period. By redeeming a beta invite code and participating in the beta, you agree to participate in our import diagnostics program (where uploaded CSV files are retained for up to 90 days to reproduce and resolve broker formatting and import errors). We reserve the right to introduce optional paid premium features, subscription tiers, or advertising in the future. You will be notified of any such changes in advance.

When paid plans launch, we intend to price our Premium subscription tier at £4.99 per month. As a thank-you for helping us test the Service, beta accounts that contribute (by importing a portfolio, reporting issues, or providing feedback during the closed beta) will be entitled to 50% off the then-current Premium price for the first 12 months of their subscription. This entitlement is offered on a goodwill basis and may be subject to reasonable conditions communicated to beta testers in advance.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms and may result in immediate termination of your account.

You are responsible for safeguarding your password and for all activities or actions under your account.

4. Data Usage and Privacy

By using Omnicogi, you may upload personal financial data, including transaction histories and asset account snapshots.

• You retain full ownership of all data you upload.
• We process this data solely to provide you with financial analysis services.
• During the closed beta, uploaded files are retained for up to 90 days to diagnose import errors and expand UK broker compatibility.
• We do not sell your personal financial data to third parties.

5. Advertising

Omnicogi may display third-party advertising within the Service in the future. We will always clearly label advertisements as such. Your personal financial data will never be shared with advertisers or used to target you with advertisements.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Omnicogi and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom.

7. Limitation of Liability

In no event shall Omnicogi be liable for any indirect, incidental, special, or consequential damages resulting from your access to or use of the Service, or any investment decisions made based on information provided by the Service.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
