1. Introduction

Welcome to Omnicogi. These Terms of Service ("Terms") govern your use of the Omnicogi website and application (collectively, the "Service"), operated by Iteruti Ltd, trading as Omnicogi ("we," "us," or "our"), registered in England and Wales under company number 14569520, with registered office at 167-169 Great Portland Street, 5th Floor, London, United Kingdom, W1W 5PF. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

2. Nature of service

Omnicogi is a wealth intelligence and net worth tracking tool designed to help individuals understand their historical financial performance across investments, savings, property, pensions, and other assets and liabilities.

Omnicogi is currently in an open public beta ("Early Access"). During Early Access, which runs until 5 April 2027, all features of the Service, including those we intend to offer as part of a Premium tier (such as automated Section 104 CGT pooling reports, ISA Bridge FIRE projections, read-only portfolio sharing, and multi-format exports), are provided free of charge. By creating an account during the beta, you agree to participate in our import diagnostics program (where uploaded CSV files are retained for up to 90 days to reproduce and resolve broker formatting and import errors). After Early Access ends, the core features of the Service will remain available free of charge. We reserve the right to introduce optional paid premium features, subscription tiers, or advertising in the future. You will be notified of any such changes in advance.

There is currently no checkout and no date set for one. If and when paid plans launch, we intend to price our Premium subscription tier at £4.99 per month; this is a statement of current intention, not a fixed or guaranteed price. As a thank-you for helping us test the Service, accounts created during Early Access will be entitled to 50% off the then-current Premium price for the first 12 months of their subscription. This entitlement is offered on a goodwill basis and may be subject to reasonable conditions communicated to beta testers in advance.

3. User accounts & eligibility

You must be at least 18 years of age to register for an account and use the Service. When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms and may result in immediate termination of your account.

You are responsible for safeguarding your password and for all activities or actions under your account. You agree not to misuse the Service, attempt unauthorized access, reverse engineer the platform, or upload corrupted or malicious files.

4. Data usage and privacy

By using Omnicogi, you may upload personal financial data, including transaction histories and asset account snapshots.

• You retain full ownership of all data you upload.
• We process this data solely to provide you with financial analysis services.
• During the beta (Early Access), uploaded files are retained for up to 90 days to diagnose import errors and expand UK broker compatibility.
• We do not sell your personal financial data to third parties.

5. Advertising

Omnicogi may display third-party advertising within the Service in the future. We will always clearly label advertisements as such. Your personal financial data will never be shared with advertisers or used to target you with advertisements.

6. Intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of Omnicogi and its licensors. The Service is protected by copyright, trademark, and other laws of the United Kingdom.

7. Limitation of liability

In no event shall Omnicogi or Iteruti Ltd be liable for any indirect, incidental, special, or consequential damages resulting from your access to or use of the Service, or any investment decisions made based on information provided by the Service. Nothing in these Terms shall limit or exclude our liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any statutory rights that cannot be excluded under applicable consumer law.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason.

9. Governing law

These Terms shall be governed and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
